1. Agreement to terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your") and Societly Technologies LLP, operating under the brand name Societly ("Societly", "we", "us", "our"), a limited liability partnership registered under the Limited Liability Partnership Act, 2008 in India, governing your access to and use of societly.co, app.societly.co, admin.societly.co, the Societly mobile application, and any related services (collectively, the "Platform").
By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
If you are using the Platform on behalf of a housing society, cooperative society, residents' welfare association, apartment owners' association, or any other organisation ("Society"), you represent and warrant that you have the authority to bind that Society to these Terms.
2. Eligibility
You must be at least 18 years of age to create an account or use the Platform. By using the Platform, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.
3. Description of services
Societly provides a software-as-a-service (SaaS) platform for residential society management. The Platform enables Societies to manage maintenance billing and collections, member directories, visitor and gate management, complaint and ticket tracking, amenity bookings, vendor management, announcements and communications, document storage, meeting records, polls, staff management, and financial reporting.
Features available to you depend on your subscription plan and your role within the Society (resident, committee member, administrator, or staff). We may modify, update, or discontinue features with reasonable notice where feasible.
4. Account registration and security
To use the Platform, you must register for an account. You may do so with an email address and a password, by signing in with a supported social account (such as Google), or — on the mobile app — with your phone number alone, verified by a one-time password (OTP), in which case no password is created. Whichever route you use, you may add and verify an email address and phone number on your profile afterwards; some features, such as receiving invoices and society invitations by email, require a verified email address.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at hello@societly.co if you become aware of any unauthorised use of your account.
We reserve the right to suspend or terminate accounts that we reasonably believe are compromised, fraudulent, or in violation of these Terms.
5. Society administrator responsibilities
Society administrators and committee members who manage a Society on the Platform have additional responsibilities:
• Ensuring that the Society's use of the Platform complies with its registered bye-laws, cooperative society regulations, and all applicable Indian laws.
• Maintaining the accuracy of member data, unit records, and financial entries entered into the Platform.
• Obtaining any necessary consents from residents before adding their personal information to the Platform.
• Making financial, legal, and compliance decisions independently — the Platform is a tool to facilitate management, not a substitute for professional legal, tax, or financial advice.
• Configuring access controls and member permissions appropriately for their Society.
6. Subscription plans, fees, and payment
The Platform offers both free and paid subscription plans. The features and limits of each plan are described on our pricing page.
Paid subscriptions are billed in advance on a monthly or annual basis as selected at the time of purchase. All fees are denominated in Indian Rupees (INR) and are exclusive of applicable taxes including GST, which will be charged as required by law.
Online payments — both platform subscription fees and resident collections — are processed through our RBI-authorised payment gateway partner. By making a payment, you agree to the payment terms of the applicable payment processor.
Resident collections (maintenance charges, levies, amenity payments, deposits, and other dues) belong to the relevant Society and are settled to the Society's designated bank account through our RBI-regulated banking and payment partner. Societly does not charge any processing fee, commission, or cut on these payments; any payment-processing charge, where applicable, is levied by the banking or payment partner and is not retained by Societly. Societly's only charge is the plan subscription fee.
Societly is a technology platform. Societly is not a bank and is not a payment aggregator, and does not itself provide payment or banking services; all payment processing and settlement are carried out by our RBI-regulated banking and payment partner. Societly facilitates the collection of a Society's dues as the Society's authorised agent, on the terms of the Society Payment Facilitation & Collection Authorisation Agreement accepted by the Society.
We reserve the right to change pricing with at least 30 days' written notice. Price changes will apply from the next billing cycle after the notice period. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
Failure to pay fees when due may result in suspension or downgrade of paid features. We will provide at least 7 days' notice before suspending access for non-payment.
7. Refund policy
Annual subscriptions are eligible for a full refund if requested within 7 days of the initial purchase, provided that the Society has not substantially used the paid features during that period.
Monthly subscriptions are non-refundable. If you cancel a monthly subscription, you will retain access to paid features until the end of the current billing period.
Refunds for mobile subscriptions purchased through Apple App Store or Google Play Store are subject to the respective store's refund policy.
Refunds of resident collections (maintenance, levies, amenity payments, deposits) are initiated by the relevant Society and processed by Societly on the Society's behalf to the original payment method — the refund is made from the Society's funds and appears to the resident as a refund from their Society. 8. Acceptable use
You agree not to:
• Attempt to gain unauthorised access to the Platform, other user accounts, or our systems and infrastructure.
• Use the Platform to transmit malware, viruses, or any code of a destructive nature.
• Interfere with or disrupt the Platform or the servers and networks connected to it.
• Use the Platform for any unlawful purpose, including harassment, discrimination, defamation, or fraud.
• Scrape, crawl, or use automated means to access the Platform other than through our published APIs.
• Reverse-engineer, decompile, or disassemble any part of the Platform.
• Resell, sublicense, or redistribute access to the Platform without our written consent.
• Upload content that infringes the intellectual-property rights of any third party.
We may investigate suspected violations and suspend or terminate access to accounts that violate these rules, without prior notice if the violation poses an immediate security or legal risk.
9. Intellectual property
The Platform, including its source code, design, user interface, logos, trademarks, documentation, and all related intellectual property, is owned by Societly Technologies LLP and is protected by applicable copyright, trademark, and intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely in accordance with these Terms and your active subscription plan. This licence does not grant you any right to the underlying source code or to use our trademarks.
10. Your content and data
You retain ownership of all data, documents, and content that you or your Society upload to the Platform ("Your Content").
By uploading Your Content, you grant us a limited licence to store, process, display, and transmit it solely for the purpose of providing the Platform to you. We will not use Your Content for advertising or sell it to third parties.
You are responsible for ensuring that Your Content does not violate any applicable law or the rights of any third party. We reserve the right to remove content that we reasonably believe violates these Terms or applicable law, with notice to you where practicable.
You may export Your Content at any time through the Platform's export functionality. Upon termination or deletion of your account, we will delete Your Content in accordance with our Privacy Policy.
11. AI-assisted features
The Societly mobile app includes optional AI-assisted features that run on your device, such as meeting recording and transcription with draft minutes, bill explanations, complaint-triage suggestions, and drafting help for notices and replies ("AI Features"). AI Features process your content locally on your device; the details of how they handle data are described in our Privacy Policy.
AI-generated output is assistive only. Drafts, transcripts, summaries, explanations, and suggestions produced by AI Features may be incomplete, inaccurate, or inappropriate for your situation, and must be reviewed by a responsible person before being adopted, published, shared, or acted upon. Official Society records — including meeting minutes, notices, and financial explanations — remain the responsibility of the Society, and the person who approves or publishes AI-assisted content is responsible for its accuracy.
AI-generated content is labelled as such in the app. You agree not to use AI Features to generate content that is unlawful, offensive, or infringing, and you can flag inappropriate or offensive AI output using the in-app feedback control shown alongside every AI result.
If you record a meeting using the app, you are responsible for complying with your Society's bye-laws and applicable law, including informing participants that the meeting is being recorded.
AI Features require a compatible device with sufficient free storage (the on-device model is approximately 0.4–1 GB), may vary by subscription plan, and may be modified or discontinued in accordance with Section 3. The disclaimer of warranties in Section 13 applies fully to AI Features and their output.
12. Availability and support
We aim to maintain the Platform's availability but do not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated in advance where feasible.
Support is provided via email at support@societly.co. Response times depend on your subscription plan and the nature of the inquiry.
13. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Societly does not warrant that: (a) the Platform will meet all of your requirements; (b) the Platform will be uninterrupted, timely, secure, or error-free; (c) the results obtained from using the Platform will be accurate or reliable; or (d) any defects in the Platform will be corrected within a specific timeframe.
Financial calculations, billing summaries, and reports generated by the Platform are tools to assist Society management. They are not a substitute for independent accounting, auditing, or legal advice. Societies remain solely responsible for the accuracy of their financial records and compliance with applicable regulations.
14. Limitation of liability
To the fullest extent permitted by applicable law, in no event shall Societly, its partners, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.
Societly's total aggregate liability arising out of or related to these Terms or the Platform shall not exceed the total fees paid by you to Societly during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Indian law, including liability for fraud or wilful misconduct.
15. Indemnification
You agree to indemnify, defend, and hold harmless Societly and its partners, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law or the rights of any third party; or (c) Your Content.
16. Termination
You may stop using the Platform and close your account at any time by contacting us at hello@societly.co or through your account settings.
We may suspend or terminate your access to the Platform: (a) for material breach of these Terms that is not cured within 15 days of written notice; (b) immediately if required by law or if your use poses a security risk to the Platform or other users; or (c) if your subscription fees remain unpaid for more than 30 days after the due date.
Upon termination, your right to use the Platform ceases immediately. We will retain and handle your data in accordance with our Privacy Policy, including applicable legal retention periods. You may request an export of your data before account closure.
17. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of India.
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through negotiation within 30 days of written notice of the dispute.
If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bengaluru, Karnataka, India. The arbitration shall be conducted in English by a sole arbitrator mutually appointed by the parties.
Nothing in this clause prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights.
The courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any proceedings not subject to arbitration, subject to any mandatory consumer-protection provisions under Indian law.
18. Modifications to these terms
We may update these Terms from time to time. When we make material changes, we will: (a) update the "Last updated" date at the top of this page; (b) notify you via email or an in-app notification at least 15 days before the changes take effect.
Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform before the changes take effect.
19. General provisions
Severability — If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver — The failure of Societly to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment — You may not assign or transfer these Terms or your rights under them without our prior written consent. Societly may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Entire agreement — These Terms, together with our Privacy Policy and any applicable subscription order form, constitute the entire agreement between you and Societly regarding the Platform and supersede all prior agreements and understandings.
